  1. Access to the Site 

Subject to these Terms, Copify grants you a non-transferable, non-exclusive, revocable, limited license to access the Site solely for your own personal, noncommercial use. 

2. No Support or Maintenance 

You agree that Copify will have no obligation to provide you with any support in connection with the Site. 

3. Third-Party Links & Ads 

The Site may contain links to third-party websites and services, and/or display advertisements for third-parties. Such Third-Party Links & Ads are not under the control of Copify, and Copify is not responsible for any Third-Party Links & Ads. 

4. Disclaimers 

The Site is provided on an “as-is” and “as available” basis, and Copify and our suppliers expressly disclaim any and all warranties and conditions of any kind.

5. Term and Termination 

Subject to this Section, these Terms will remain in full force and effect while you use the Site. We may suspend or terminate your rights to use the Site at any time for any reason at our sole discretion. 

6. General 

These Terms are subject to occasional revision, and if we make any substantial changes, we may notify you by sending you an e-mail to the last e-mail address you provided to us. 

7. Applicability of Arbitration Agreement 

All claims and disputes in connection with the Terms or the use of any product or service provided by Copify that cannot be resolved informally or in small claims court shall be resolved by binding arbitration on an individual basis under the terms of this Arbitration Agreement. 

8. Notice Requirement and Informal Dispute Resolution 

Before either party may seek arbitration, the party must first send to the other party a written Notice of Dispute describing the nature and basis of the claim or dispute, and the requested relief. 

9. Arbitration Rules 

Arbitration shall be initiated through the American Arbitration Association, an established alternative dispute resolution provider that offers arbitration as set forth in this section. 

10. Additional Rules for Non-Appearance Based Arbitration 

If non-appearance based arbitration is elected, the arbitration shall be conducted by telephone, online, and/or based solely on written submissions. 

11. Time Limits 

If you or Copify pursue arbitration, the arbitration action must be initiated and/or demanded within the statute of limitations and within any deadline imposed under the AAA Rules for the pertinent claim. 

12. Authority of Arbitrator 

If arbitration is initiated, the arbitrator will decide the rights and liabilities of you and Copify. 

13. Waiver of Jury Trial 

THE PARTIES HEREBY WAIVE THEIR CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY, instead electing that all claims and disputes shall be resolved by arbitration under this Arbitration Agreement. 

14. Waiver of Class or Consolidated Actions 

All claims and disputes within the scope of this arbitration agreement must be arbitrated or litigated on an individual basis and not on a class basis. 

15. Confidentiality 

All aspects of the arbitration proceeding shall be strictly confidential. 

16. Severability 

If any part or parts of this Arbitration Agreement are found under the law to be invalid or unenforceable by a court of competent jurisdiction, such specific parts or parts shall be of no force and effect and shall be severed and the remainder of the Arbitration Agreement shall continue in full force and effect. 

17. Right to Waive 

Any or all of the rights and limitations set forth in this Arbitration Agreement may be waived by the party against whom the claim is asserted. 

18. Survival of Agreement 

This Arbitration Agreement will survive the termination of your relationship with Copify. 

19. Small Claims Court 

Nonetheless the foregoing, either you or Copify may bring an individual action in small claims court. 

20. Emergency Equitable Relief 

Notwithstanding the foregoing, either party may seek emergency equitable relief before a state or federal court in order to maintain the status quo pending arbitration. 

21. Claims Not Subject to Arbitration 

Notwithstanding the foregoing, claims of defamation, violation of the Computer Fraud and Abuse Act, and infringement or misappropriation of the other party’s patent, copyright, trademark, or trade secrets shall not be subject to this Arbitration Agreement. 

22. Entire Terms 

These Terms constitute the entire agreement between you and us regarding the use of the Site.

25. Our Commitment to Our Users 

We don’t ask you for your personal information unless it is absolutely necessary for you to contact us to hear about our services, join our newsletter, download or sign up to receive content, offer our services, or join our team. We take a “Minimum Viable Data” approach to all data collection practices and ensure we are never collecting additional information beyond the necessary scope of service. 

We limit sharing your personal information where possible, but will occasionally share it with trusted partners for the purposes of co-marketing, joint service offerings, and co-sponsoring events, and to comply with applicable laws, develop, enhance or modify our services, or protect our rights. 

We don’t store personal information on our servers unless required for the ongoing operation of one of our Services on behalf of our Clients or as specified on our website forms.

8.10. Requests to Exercise Your Rights 

Only you or a person that you authorize to act on your behalf may make a verifiable consumer request related to your Personal Information. You may also make a verifiable consumer request on behalf of your minor child if you believe we have received their Personal Information inadvertently. You may request to exercise the aforementioned rights by:

Please note that we may take steps to verify your identity and residency before granting you access to Personal Information or acting on your request to exercise your rights, as required or permitted by law. If you use an authorized agent, we may require proof of written authorization you have given to make the request. We may limit our response to your exercise of the above rights as permitted by law. We will confirm receipt of the request within ten (10) business days describing our verification process. We will respond to your request within forty-five (45) calendar days if we are able to verify your identity. Requests for deletion will require a separate confirmation that you want your Personal Information deleted. 

If a request or series of requests are manifestly unfounded or excessive, we may charge a reasonable fee for processing the request(s), or may refuse to process the request(s). 

We will maintain records of requests made pursuant to the CCPA for a period of at least 24 months. 

8.10. Data Sharing for Direct Marketing Purposes 

California Civil Code § 1798.83 further permits California residents to request certain information regarding our disclosure of Personal Information to third parties for their direct marketing purposes. If you are a California resident, you may ask us to refrain from sharing your Personal Information with certain of our affiliates and other third parties for their marketing purposes.   1. Your Virginia Privacy Rights

If you are a resident of Virginia, you have the right under the Virginia Consumer Data Protection Act, upon a verified request, to: 

  • Confirm whether or not a controller is processing your personal data and to access such personal data. 
  • Correct inaccuracies in your personal data. 
  • Delete your personal data. 
  • Obtain a copy of your personal data that you previously provided to us in a portable, and if technically feasible, readily usable format, if processing is carried out by automated means. 
  • Opt out of the processing of your personal data for purposes of (i) targeted advertising, (ii) the sale of personal data, or (iii) profiling in furtherance of decisions that produce legal or similarly significant effects concerning the consumer. 

To exercise these rights, you may make a request to confirm, access, correct, delete, obtain a copy, or opt-out of the processing of your Personal Information for targeting advertising, sale, or profiling by contacting us using the information in the Contact Us section below: 

We may require you to confirm your identity and your residency in order to obtain the Personal Information, and you are only entitled to make this request up to twice annually. For emails, please include “Virginia Privacy Rights” as the subject line. You must include your full name, email address, and attest to the fact that you are a Virginia resident. We will process your request within forty-five (45) days or let you know if we need additional time or cannot process your request. If you make this request by telephone, we may also ask you to provide the request in writing so that we may verify your identity. If we are unable to honor your request for any reason, we will notify you of the reason within the request time period. 

If we decline to take action on your request, residents of Virginia can appeal our decision by submitting an email to sales@copify.com entitled “Virginia Privacy Rights Appeal” and we will review your request and respond with a written explanation of the reasons for our decision. If your appeal is denied, you may contact the Virginia Attorney General to submit a complaint. 

 

  1. Security Measures for Storing Information

10.1. How We Securely Store The Information 

Copify is compliant with ISO27001:2013, PIMS, and HIPAA. To ensure the safety of your data, we have implemented reasonable, technical, administrative, and physical security measures. Considering the potential risks to data, we conduct VAPT from third-party and perform regular internal/external audits. Please check Copify‘s security & compliance page for more details. 

If you feel that the security of your personal information has been compromised, please contact us immediately at sales@copify.com. Please be aware that, despite our best efforts, no security system is impenetrable. In the event of a security breach, we will promptly notify you and the proper authorities if required by law. 

10.2. Right Of Confirmation 

You have the right to obtain confirmation as to whether or not your personal data is being processed at Copify. 

10.3. Right To Data Portability 

As per GDPR article 6 (1), 9(2), you have the right to receive your personal data in a structured, commonly used, and machine-readable format. You also have the right to transmit the data to another controller/company. In order to assert the right to data portability, you may contact us. 

10.4. Right To Object 

As per GDPR article 6, you have the right to object to the processing of your personal data. We will no longer process your personal data in the event of the objection being raised unless we can demonstrate compelling legitimate grounds for the processing. 

10.5. Right To Withdraw Data Processing Consent 

You have the right to withdraw your consent to processing personal data at any time. If you wish to exercise the right to withdraw the consent, you may contact us at sales@copify.com. 

 

  1. Sensitive Data

Copify requests that you do not send us any sensitive data such as social security or national identification numbers, information related to racial or ethnic origin, political opinions, religious beliefs, health data, biometrics or genetic, criminal background, or trade union membership information. If you do send Copify this information, then you are consenting to its processing in accordance with this privacy policy. To avoid processing of sensitive data, do not submit it. 

 

  1. User Verification

Only you or persons you authorize to act on your behalf may make requests about your personal information. We will require verification that you provided a third party or authorized agent to act on your behalf in the case you designate such a person. To this end, you must send us a copy of the signed permission given to the agent and verify your identity. 

The verifiable party must provide information to confirm you are the person about whom we collected personal information or a representative of such person and state your request in detail sufficient for us to understand, assess, and respond to it. 

The verification process may require us to request additional information, personal or otherwise, to confirm your or your agent’s identity, including, but not limited to, name, email address, and date of birth. We will respond to your inquiry within the timeframe required by local law if the verification process is successful. 

If we are unable to confirm the identity of you or your representative, and/or obtain proof that you have authorized a representative to act in your stead, we will attempt to contact and inform you of such attempts being made. 

We cannot process requests regarding your personal information in cases where we cannot confirm your identity or the agent’s authority to make such requests. We may deliver our response by mail or electronically, as chosen by you. 

  1. Our Policy on Children’s Information

The Site is not directed to children under 16. If we learn that we have received Personal Information from a child who is under 16, we will delete the data. If you learn that your minor child has provided Copify with Personal Information without your consent, please contact us at sales@copify.com. 

  1. Privacy Policy Changes

Although most changes are likely to be minor, Copify may change its Privacy Policy from time to time, and at Copify’s sole discretion. We will indicate at the top of the page the modified notice’s effective date. We therefore encourage you to refer to this page on an ongoing basis so that you are aware of our current privacy policy. If required by the applicable law, we will notify you of the changes. By continuing to use the Site or providing us with information following such a replacement Notice being uploaded, you agree that you will be deemed to have agreed to be bound by the Privacy Policy as changed.
